Associate – Corporate Secretary Services (m/f/d)

They are seeking a highly organized and detail-oriented Associate to join their Corporate Secretary Services team. The successful candidate will work closely with the Corporate Secretary Services team to ensure compliance with corporate regulations, facilitating board meetings and providing effective administrative support to the board of directors of the funds managed by Finance in Motion.

Key responsibilities:

  • Assist in coordinating board meetings of the funds, including managing timelines for preparing agendas, presentations and documents.
  • Communicate with internal and external counterparties to ensure timely delivery of board meeting materials.
  • Provide executive support to the Corporate Secretary and assist with scheduling and correspondence.
  • Compile and update Board and Committee meeting packages, using Board Portal software.
  • Support on the drafting of corporate records, including board minutes, resolutions, follow-up actions and other meeting documentation.
  • Ensure timely follow-up on action items and board decisions and coordination with internal stakeholders.
  • In close collaboration with the Corporate Secretary Services team and other stakeholders, coordinate the maintenance and update of corporate governance policies and procedures.
  • Support corporate governance initiatives, and development of policies and procedures.
  • Assist in ensuring compliance with corporate governance regulations and company policies.
  • Assist in the preparation and submission of regulatory filings to the financial regulatory authority in Luxembourg (CSSF).
  • Lead and facilitate communication between the Board and service providers. Support the Fund Administrator in communication with shareholders of the Fund.
  • Review and enhance the electronic filing system of corporate documentation.

What they expect:

  • At least bachelor’s degree in law, Business Administration, or a related field.
  • Minimum of 3-5 years of experience in a similar role, preferably within the investment fund industry, ideally in Luxembourg.
  • Knowledge of corporate governance, company law or financial services regulations. Experience in Luxembourg corporate law and regulatory requirements is an asset.
  • Excellent organizational and time management skills.
  • Strong written and verbal communication skills in English; proficiency in French or German is a plus.
  • Proficiency in Microsoft Office Suite.
  • High level of integrity and professionalism.
  • Exceptional attention to detail and organisational skills, with the ability to manage multiple priorities effectively.
  • Proactive, self-motivated and collaborative team player.
  • Strong problem-solving and decision-making skills.
